Terms of Service &
Collaboration Architecture

These terms define the operating system of our partnership. By deploying a project with us, you agree to this framework designed to ensure high-performance delivery, clear boundaries, and enterprise-grade results.

1. Development Pipeline & Scope of Work

Every project is an engineered solution. The exact scope of deliverables will be strictly defined in your project brief and tracked via our centralized management system:

Scope Definition: Tasks, features, and UI/UX requirements are documented and approved within ClickUp before development begins.
Scope Creep Control: Any requests for additional features, pages, or complex API integrations outside the initial agreement will be treated as a new module and subject to a separate estimate and milestone.

2. Financial Protocols & Milestones

To maintain a healthy development lifecycle, our financial transactions follow a structured milestone protocol:

Payment Gateways: Invoices and payments are routed securely through Wise, Upwork, Contra, or other mutually agreed platforms.
Upfront Commitment: Development commences only after the initial deposit or escrow is funded.
Refunds: Governed strictly by our 24-Hour Zero-Risk Guarantee. Once the 24-hour window closes or project continuation is approved, all subsequent payments are non-refundable.

3. Intellectual Property (IP) & White-Labeling

Clear ownership rights are critical for Enterprise and Agency collaborations:

Code Ownership: Upon full and final payment, the complete architecture, custom code, and deployment assets are transferred to you. You own the final product.
White-Label & NDA: For Agency partners, I operate as a silent, white-label architect. If a Non-Disclosure Agreement (NDA) is signed, your project will never appear in my public portfolio.
Portfolio Showcase: Unless an NDA is explicitly in place, I retain the right to showcase snippets, performance metrics, and non-sensitive case studies of the architecture in my portfolio to demonstrate my expertise.

4. Client Responsibilities & Bottlenecks

A seamless deployment requires synchronized inputs from both sides. You agree to provide:

Timely delivery of required assets (copywriting, branding files, high-res images).
Prompt feedback within ClickUp (ideally within 24-48 hours) to prevent pipeline delays.
Proper server access (Admin, SSH, SFTP, Control Panel) necessary for staging and final deployment. Delays caused by lack of access will adjust the project timeline accordingly.

5. Liability & Warranty Limitation

While I engineer highly robust systems, third-party environments are beyond my direct control post-deployment:

"As-Is" Delivery: Once the final milestone is approved and deployed to your live server, the project is considered complete.
Third-Party Updates: I am not liable for future site breakages caused by WordPress core updates, third-party plugin conflicts (e.g., WooCommerce, Elementor), or server environment changes executed after the handover, unless you are enrolled in an active Enterprise Maintenance retainer.
